1. Confidentiality Policy
Unitic Creative Studio acknowledges that the client may share sensitive, proprietary, or confidential business information in the course of the project. Unitic Creative Studio commits to:
- Not disclosing the client’s confidential business information to third parties without written consent
- Using client-supplied information solely for the purpose of completing the agreed project
- Maintaining reasonable confidentiality measures for all sensitive data shared during the engagement
This confidentiality obligation does not apply to information that is:
- Publicly available
- Already known to Unitic Creative Studio prior to disclosure
- Required to be disclosed by law
Clients who require a formal, separate Non-Disclosure Agreement (NDA) may request one prior to project commencement.
2. Intellectual Property, Ownership, File Delivery & Retention
2.1 Ownership During the Project
All creative work, designs, concepts, strategies, copy, code, and any other deliverables produced by Unitic Creative Studio remain the exclusive intellectual property of Unitic Creative Studio until full and final payment has been received and cleared.
2.2 Transfer of Ownership
Upon receipt of full payment, ownership of the final agreed deliverables transfers to the client. Ownership transfer applies only to the final, approved deliverable not to any interim concepts, rejected designs, creative strategies, or ideas presented during the process.
2.3 Unitic Creative Studio’s Retained Rights
Regardless of full payment and ownership transfer, Unitic Creative Studio retains the right to:
- Display completed work in our portfolio, website, and social media for promotional purposes
- Retain all draft concepts, unused designs, and creative ideas not selected by the client
- Use the project as a case study or in promotional materials
If the client wishes to restrict portfolio use of their project, this must be requested in writing prior to project commencement, and may be subject to an additional confidentiality agreement.
2.4 Client-Supplied Materials
The client warrants that any materials, images, logos, text, or content supplied to Unitic Creative Studio for use in the project are legally owned by or licensed to the client. Unitic Creative Studio will not be held liable for any intellectual property violations arising from client-supplied materials.
File Delivery & Retention
3.1 File Delivery
Upon receipt of full payment, final project files will be delivered to the client in agreed formats. Delivery will be made via a designated file sharing platform, download link, or storage device as mutually agreed. Unitic Creative Studio will confirm delivery in writing.
3.2 Client Responsibility for Backup
Once files have been delivered, it is the sole responsibility of the client to download, back up, and securely store all project files. Unitic Creative Studio strongly recommends that clients back up all delivered files immediately upon receipt across multiple secure storage locations.
3.3 Retention Period & Liability Limitation
Unitic Creative Studio will retain client project files for a period of 60 days following final delivery. After this period, availability of project files cannot be guaranteed.
Unitic Creative Studio shall not be held liable for the loss of project files due to unforeseen circumstances including but not limited to hardware failure, equipment theft, system crashes, or force majeure events. By signing the agreement, the client acknowledges and accepts this limitation of liability.
File recovery requests made after the 60-day retention period may be accommodated at our discretion and may be subject to a file recovery or reconstruction fee.
4. Portfolio & Credit Policy
By entering into the client agreement, the client grants Unitic Creative Studio permission to:
- Feature the completed project in our portfolio on our website and marketing materials
- Share the project on Unitic Creative Studio’s social media platforms
- Credit the project in case studies, award submissions, or industry presentations
Clients who wish to opt out of portfolio and social media usage must submit a written opt-out request prior to the commencement of the project. Retroactive opt-out requests after project completion cannot be guaranteed.
